These Terms of Use (this “Agreement” or these “Terms”) describe the terms and conditions applicable to your use of www.labyouth.com (the “Site”), the Floii mobile application (the “Mobile App”), and your use of our services and software provided on our Site, Mobile App, or any services, content, communications, and product features relating to the Site and Mobile App and as set forth in these Terms (collectively with the Site and Mobile App, the “Services”).

The Site and Mobile App are owned and operated by Yangyan Limited (Labyouth Limited), and its affiliates and subsidiaries (collectively the “Company”, “we” or “us”).

1. Platform Services

Our Services include the following:

• (i) integrating user inputs from Apple Health accounts and other third-party providers of health data and information (hereinafter referred to as “Third-Party Sources”);
• (ii) utilizing data from the Third-Party Sources to generate health scoring metrics and general reference information; and
• (iii) utilizing AI algorithms to generate personalized suggestions regarding exercise, diet, and skincare routines based on collected data.

2. Acknowledgement and Disclaimers

General Information Only. Our Services are for general health, fitness, and wellness information purposes only. You should not rely on this information as a substitute for, nor does it replace medical advice, diagnosis, or treatment.

No Doctor-Patient Relationship. The Services are not intended to be and should not be used in place of the advice of your physician or other medical professionals.

Specific Disclaimer for Diet and Skincare. You acknowledge that AI-generated suggestions regarding skincare products, routines, or dietary changes are based on general data analysis and may not account for individual allergies, skin conditions, or specific medical needs.

Assumption of Risk. If you make any change to your lifestyle based on the Services, you agree that you do so fully at your own risk.

3. General

Subject to the terms of this Agreement, you are responsible for your use of the Services and for any Content you post to the Services.

4. Privacy

By accessing or using the Services, you agree to be bound by our Privacy Policy, which is incorporated herein by reference.

5. Accounts

You are responsible for keeping your account information secure and confidential.

6. Eligibility

By using our Services, you represent that you are at least 18 years old and legally qualified to enter a binding contract.

7. Content

By providing Content, you grant us a non-exclusive, worldwide, royalty-free license to use that Content. You represent that your Content does not violate any third-party rights.

8. Your Interactions with Other Users

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. THE COMPANY DISCLAIMS ALL LIABILITY FOR ANY INJURY POTENTIALLY INCURRED BY ITS USERS.

9. Compliance with Laws

You agree to use the Services only for lawful purposes.

10. Fees

By using our Services, you agree to pay all applicable fees. We reserve the right to adjust our pricing.

11. Subscriptions

If you purchase a subscription through an External Service (e.g., Apple App Store), it will automatically renew. To cancel, you must go to your External Service Account settings.

12. Your License to the Services

We grant you a limited, non-exclusive, revocable license to access the Services.

13. Restrictions On Use

You agree not to distribute, reverse engineer, scrape, or use the Services for illegal purposes.

14. License Grant to Your Content

You grant the Company a perpetual, worldwide, royalty-free license to use any Content you provide (excluding non-public personal information).

15. Suspension of Transactions

We reserve the right to suspend Services due to fraud or compliance concerns.

16. Third-Party Links

We are not responsible for the content or practices of third-party sites linked in our Services.

17. Feedback

We are free to use any feedback you provide without compensation.

18. Beta Services

Beta features are used at your own risk and may not be supported or reliable.

19. Assumption of Risks; Release

You assume all risks relating to your access or use of our Services. You agree to indemnify and hold harmless the Company from any claim arising from your use.

20. Indemnity

You agree to indemnify the Company against all losses arising from your violation of these Terms.

21. Limitations on Liability

THE SERVICES ARE PROVIDED “AS IS”. IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE PRECEDING 6 MONTHS.

22. Term and Termination

We may terminate your access at any time without notice.

25. Binding Arbitration

Any dispute shall be resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC). Seat of Arbitration: Hong Kong. Governing Law: Laws of the Hong Kong Special Administrative Region.

26. Governing Law

This Agreement is governed by the laws of the Hong Kong Special Administrative Region.
